TERMS AND CONDITIONS

General

1. OOG Out Of Gauge Project Cargo Network (hereafter OOG Network or OOG) is a network which brings together freight forwarders and logistics companies specialized in project cargo and heavy lift movements.
2. OOG is not responsible for any interaction between its members. OOG neither profits from any business undertaken between the members, nor does OOG accepts any responsibility for any loss or defaults incurred by the membership.

Admission

3. OOG allows three (3) members per country except for:

  • one (1) member per Australia, Israel;
  • four (4) members per Brazil, Mexico, Russia, Spain, United Arab Emirates;
  • five (5) members per Turkey [REV02-20230123];
  • six (6) members per India [REV02-20230123] and USA;
  • eight (8) members per China.

3bis. OOG asks each candidate to fill out an application in order to apply for the available position.

4. The Membership Manager will have the ability to approve membership or deny the application. OOG reserves the right to admit or reject the request.

5. Applicant’s request will be considered according to the following criteria:

  • The presence of head office or branch in the reference country,
  • Real professional experience in project cargo and heavy lift shipping (proven by project description or case study, including photos),
  • Actual financial stability,
  • Good company’s reputation (supported by two customer/agent references).

6. Members pending approval will not have access to view members-only content until their membership fee has been paid.

Membership fee

7. After the approval of the membership, OOG will issue the invoice.

8. Payments must be settle within the due date specified on the invoice [REV01-20220217]. In any case, membership fees are not refundable. Once the payment has been made, members will be able to access all members-only content.

9. Membership fee amounts to € 950,00 / Nine Hundred Fifty Euro per year (twelve month period). French and Monegasque companies are subject to VAT rate at 20%. The Euro is the only currency accepted. OOG accepts payments by wire transfer. The bank charges are responsibility of each member. For international bank transfers, OOG requires you to pay all transfer charges, including correspondent (intermediary) bank charges. If it is not a SEPA transaction, please select the “OUR” option (“Remitter pays all fees” or “Sender bears all transaction fees”) on the international wire transfer (SWIFT) instruction form. The only exception is EU-payments in EUR which can be made with share (SHA) instruction.

10. OOG intends to encourage existing members and supporters to introduce well-know and reliable new members and supporters. A new member/supporter is defined as one who has not previously been a member of OOG Network. If you know of any suitable and capable candidate who is interested in joining, please inform the Customer Service, and our representatives will contact the proposed member/supporter, and you can look forward to having an amount deducted from next year’s subscription fee. 11. The membership fee refers to a single country where the member has head office or branch. Offices located in different country are subjected to a new admission procedure. Members may promote owned office / offices in country / countries registered on the Member Directory. Members may not promote owned or third parties office / offices in any area where a OOG Member already exists.

12. By the payment the Member has accepted these Terms and Conditions set by OOG Management.

13. Membership shall automatically renew unless the member gives the written notice of termination at least ninety (90) days prior to expiration of the then-current term.

14. Being a Member is a commitment to engage in continuous improvement. In fact, a good professional networker actively listens, joins in and focuses on creating long-term relationships.

15. Through its application for OOG membership, then by joining OOG, a company commit to:

  • Comply with these Terms and Conditions, Intellectual Property Policy and Whatsapp Group Rules, Policies and Guidelines [REV01 – 20220725];
  • Support the Mission of the OOG Network collaborating with others Members;
  • Respect high standards for responsible business practices;
  • According to professional ethics, avoid to do unfair competition between them;
  • Reply promptly to quotation / information requests;
  • Supply satisfying services;
  • Demonstrate its own competences and problem-solving skill rather than making unsupported claims;
  • Fulfill the payment of shipments accordingly with agreed terms;
  • Attend the annual meeting;
  • Maintain a respectful attitude and an appropriate behaviour at all times and more during the annual meeting;
  • Fulfill the payment of the annual membership fee.

17. Through its application for OOG membership, then by joining OOG, a company achieves the right to:

  • Promote and increase its business;
  • Build strong professional relationships all over the world;
  • Really compete with multinational forwarding companies;
  • Enrich its expertise;
  • Attend to annual meeting where everyone meets everyone;
  • Participate in the OOG Project Cargo Network Awards and maybe win;
  • Receive information on upcoming project and sales lead;
  • Receive expert advice on any questions relevant and related to project cargo such as import-export, custom and port regulations, chartering, engineering, packaging, fumigation, insurance, procurement, performance bond and legal issues;
  • Use mediation service between members;
  • Recover debts.

18. OOG kindly invites every member to share own professional partnerships within the Network sending, at discretion, pictures and quick notes. Any picture, quick note, press release, advertisement, logo and similar sent by members to OOG Network could or may be used by OOG as promotional material. By sending this material implicitly granted OOG permission to use it.

19. OOG members are free to add OOG logo and to hyperlink the OOG logo to OOG’s website on the member’s own electronic signature and/or own website/social networks. OOG members also are free to display the OOG logo on their stationery/business card.

Annual meeting

20. OOG Staff takes care of schedule one to one meetings to guarantee that everyone meets everyone.

21. OOG Customer Service offers assistance to book flights, accommodation and to provide VISA and country information.

22. During the annual convention, every member is commit to attend the meetings arranged.

23. OOG kindly invites members, at least a month before the annual meeting, to inform about their willingness to talk publicly about a project handled within the Network.

Communications

24. The language of communication is English. Always use appropriate language (verbally and in writing).

25. Rate requests received via Request for a quote facility, e-mail, Whatsapp message or direct message (DM) from social media pages will be sort by OOG and route to the members in the country concerned. Will any member involved respond to the request within the following business day.

Terminations

26. OOG Members may be dismissed for the following causes:

  • non-payment membership subscription fees after official warning;
  • non-payment of shipments/services;
  • failure to comply with these Terms and Conditions;
  • failure to attend the annual meeting for two consecutive years without valid reason;
  • public financial and legal issues.

27. Dismissal of OOG Members for financial reasons will have immediate effect and will be broadcast to all members for their financial protection accordingly with our Overdue Payment Between Members Policy.

28. Resignation of membership will have effect from expiration date. If any outstanding invoice is owed to OOG, they are to be settled immediately.

29. There are no refunds of membership dues for dismissals or resignations.

Complaints right

30. Every complaint regarding OOG Members should be made to the OOG Management.

31. Every complaint regarding OOG Staff should be made directly to the OOG Network Manager.

32. OOG commits to examine every complaint within seven business days and to reply exhaustively.

Confidentiality

33. Members shall maintain, even after the eventually termination, the strictest confidentiality of all information learned during the membership.

Applicable law

35. These Terms and Conditions, the Website Terms, the services provide by the Network are subject to the Monegasque law.

Exclusive Jurisdiction

36. Any dispute arising from or related to these Terms and Conditions and to any use of the website and any service provide by the Network must be permanently and exclusively resolved by the Monegasque jurisdiction and the exclusive jurisdiction of any competent court in Monaco City (Principality of Monaco – MC).
